1. The agreement

These Terms of Service govern your access to and use of products and services provided by SummitBridge Horizon Ltd ("SBH", "we"), Companies House 16419201, registered at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ. By accessing the Services or accepting an Order Form, you ("Customer") agree to these Terms.

2. Eligibility

The Services are for business use only. You must be authorised to bind your organisation, and must be 18 or over. SBH does not knowingly serve consumers under UK Consumer Rights Act 2015 unless an Order Form expressly says so.

3. Services

SBH provides AI-assisted compliance, security, recruitment, and operations products as described at summitbridgehorizon.co.uk/products. Specific product capabilities, limitations, and SLAs are described per product. AI systems carry intrinsic uncertainty; outputs are decision-support tools, not authoritative determinations.

4. Subscription and fees

  • Fees are stated on each product page or in your Order Form, in GBP unless otherwise stated
  • SBH is currently not VAT-registered; no VAT is added to invoices (UK rolling 12-month turnover below £90,000 threshold)
  • Subscriptions auto-renew at the end of each billing period unless cancelled at least 30 days before renewal
  • Payment via Stripe; SBH does not store payment card details
  • Late payment may suspend service after 14 days' written notice

5. Acceptable use

You will not use the Services to:

  • Process data unlawfully, including in violation of UK GDPR, EU GDPR, KVKK, or other applicable privacy law
  • Make solely-automated decisions producing legal or similarly significant effects on individuals (GDPR Article 22) without proper human oversight
  • Train competing AI systems on SBH outputs
  • Reverse engineer, scrape, or extract underlying models
  • Use the Services for unacceptable-risk applications under EU AI Act Article 5 (social scoring, biometric mass surveillance, manipulative subliminal techniques, etc.)
  • Violate any sanctions law (UK OFSI, EU restrictive measures, US OFAC)

6. Customer data and IP

Customer retains all rights to data uploaded to the Services. SBH processes Customer data as data processor under the Data Processing Agreement (DPA) referenced in your Order Form. Aggregate, anonymised usage statistics may be used to improve the Services.

SBH retains all rights to underlying technology, model prompts, system designs, and the Services. Customer is granted a non-exclusive, non-transferable licence to use the Services for the subscription term.

7. AI outputs and limitations

AI-generated outputs are provided "as is". Customer is responsible for:

  • Human review before any consequential decision
  • Verifying factual accuracy against authoritative sources
  • Article 14 oversight measures for high-risk systems (per per-product model card)
  • Article 13 transparency to affected persons (e.g. candidates, end users)
  • Maintaining records of override decisions

SBH does not provide legal, financial, medical, or other regulated professional advice. AI outputs are decision-support, not professional advice.

8. Service levels

SBH targets 99.5% monthly uptime measured at the API gateway. Specific SLAs and service credits are defined per product or Order Form. Scheduled maintenance is communicated at least 48 hours in advance.

9. Confidentiality

Each party will protect the other's confidential information with the same care as it protects its own (and not less than reasonable care). Confidentiality survives termination for 3 years (perpetually for trade secrets and personal data).

10. Liability

Subject to the next sentence, each party's total liability under or in connection with these Terms in any 12-month period is capped at the fees paid by Customer to SBH in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential loss, lost profits, or lost data (except to the extent of SBH's data backup obligations under the DPA). Nothing limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

11. Indemnification

Customer indemnifies SBH against third-party claims arising from Customer's misuse of the Services or breach of Acceptable Use. SBH indemnifies Customer against third-party IP claims that the Services as provided infringe a UK/EU registered patent or copyright (subject to standard exclusions for Customer-modified outputs and combinations).

12. Term and termination

Either party may terminate for material breach not cured within 30 days of written notice. Either party may terminate immediately if the other becomes insolvent. On termination, SBH will export Customer data in machine-readable format for 30 days, then delete (subject to legal retention).

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Disputes will be resolved in the exclusive jurisdiction of the English courts, except that SBH may seek injunctive relief in any competent court.

14. Changes

SBH may update these Terms by posting a new version. Material changes will be notified to active Customers at least 30 days in advance via portal banner and email. Continued use after the effective date constitutes acceptance.

15. General

These Terms, the Order Form, the DPA, and any product-specific terms constitute the entire agreement. No waiver is effective unless in writing. Notices to SBH: [email protected]. SBH may assign these Terms to a successor in a merger or sale; Customer may assign with SBH's prior written consent (not unreasonably withheld).
